Terms

x402liquid.ai Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of x402liquid.ai, related software, interfaces, local components, agent functionality, APIs, tools, and services (collectively, the “Service”).

The Service is operated by Immutifi, Inc., a Wyoming corporation (“Immutifi,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You may use the Service only if:

  • you are at least 18 years old or the legal age required to enter into a binding agreement where you live;
  • you are legally permitted to own, transfer, and trade the applicable digital assets;
  • your use of the Service is permitted in your country, state, province, or other jurisdiction;
  • you are not subject to sanctions or other legal restrictions that prohibit your use of the Service; and
  • you comply with the rules of any wallet, exchange, blockchain, trading venue, facilitator, or other third-party service you connect.

We may restrict or disable access to particular markets, assets, trading functions, agents, exchanges, or jurisdictions at any time when we reasonably believe doing so is necessary for legal, regulatory, security, risk-management, or operational reasons.

2. What x402liquid Does

x402liquid provides software that may help users:

  • connect wallets and supported trading accounts;
  • view account and asset information;
  • view market information;
  • configure AI or deterministic trading agents;
  • define trading mandates and risk limits;
  • scan and evaluate markets;
  • compare available execution venues;
  • prepare and review trades;
  • route approved trades to supported wallets, decentralized venues, or exchanges;
  • use local models and locally installed agents;
  • use optional x402-based agent services; and
  • maintain activity, policy, and audit information.

Features may differ based on device, jurisdiction, connected account, trading venue, configuration, and availability.

3. Non-Custodial Design

x402liquid is designed primarily as a non-custodial trading and coordination interface.

Immutifi does not take ownership of your trading assets merely because you use the Service.

Where supported:

  • wallet private keys remain under your control;
  • hardware-wallet keys remain on the hardware device;
  • locally stored exchange credentials remain on your Local Trading Connection;
  • local wallet signatures are requested from your wallet rather than generated by Immutifi;
  • trading mandates and local execution permissions may remain on your device; and
  • agents receive bounded trading authority rather than unrestricted access to your wallet or exchange account.

You are responsible for securing your wallets, devices, recovery phrases, passwords, API credentials, hardware wallets, authentication methods, and connected accounts.

Never provide Immutifi or an AI agent with a wallet seed phrase or private key.

4. Local Trading Connection

The Service may include or communicate with software running on your own computer or device, referred to in the interface as the Local Trading Connection.

The Local Trading Connection may interact with:

  • locally installed software wallets;
  • Ledger or Trezor hardware-wallet software or bridges;
  • local AI models;
  • locally installed agents;
  • exchange APIs;
  • market-data services; and
  • supported execution venues.

The Local Trading Connection is intended to keep sensitive signing and authentication operations on the user-controlled device where possible.

You are responsible for maintaining the security and integrity of the device on which it operates.

5. AI and Autonomous Trading Agents

The Service may allow an AI agent, deterministic strategy, locally installed model, or other software agent to evaluate markets or prepare trading actions.

Agents are software tools. They are not financial advisers, fiduciaries, brokers, investment advisers, or portfolio managers acting on your behalf.

Agent outputs may be inaccurate, incomplete, delayed, unexpected, or incorrect.

You remain responsible for:

  • choosing whether to use an agent;
  • configuring the agent;
  • establishing its permitted markets and accounts;
  • setting trade limits;
  • setting daily limits;
  • setting risk controls;
  • determining whether autonomous operation is appropriate;
  • reviewing trading activity; and
  • stopping or disabling an agent when appropriate.

A trade being generated or approved by an agent does not mean the trade is suitable, profitable, or advisable.

6. Owner Mandates and Safety Controls

The Service may allow you to establish limits such as:

  • permitted wallets or accounts;
  • permitted exchanges or execution venues;
  • allowed tokens or assets;
  • permitted trading pairs;
  • maximum trade amount;
  • daily trading limits;
  • maximum leverage;
  • maximum slippage;
  • loss or drawdown limits;
  • liquidity requirements;
  • market-quality requirements;
  • session duration;
  • strategy limits; and
  • other execution restrictions.

These controls are designed to reduce risk but cannot eliminate trading, software, market, security, or execution risk.

You are responsible for reviewing your settings and confirming that they reflect your intended risk level.

7. Wallets and Hardware Wallets

The Service may support browser wallets, desktop wallets, locally installed wallet software, and hardware wallets such as Ledger and Trezor through compatible local software or bridges.

Hardware wallets may require physical confirmation on the device.

Immutifi does not control whether a third-party wallet approves, rejects, delays, or modifies a requested action.

You are responsible for verifying transaction details displayed by your wallet before signing.

8. Exchange Accounts and APIs

You may be able to connect accounts from supported exchanges or trading venues.

Where API credentials are used, you should grant only the permissions necessary for the intended functionality.

Unless a particular feature expressly requires otherwise, exchange credentials used with x402liquid should be restricted to:

  • reading account information;
  • reading balances;
  • viewing orders;
  • placing trades; and
  • canceling trades.

Do not grant withdrawal or transfer authority unless a specific feature clearly requires it and you intentionally choose to enable it.

Availability of an exchange connector does not mean Immutifi controls, endorses, or guarantees that exchange.

An exchange may suspend accounts, restrict API access, change fees, reject orders, change its terms, restrict jurisdictions, experience downtime, or cease operating.

9. Best Venue and Routing

The Service may compare multiple connected execution venues.

Route comparisons may consider factors such as:

  • quoted price;
  • spread;
  • estimated fees;
  • liquidity;
  • slippage;
  • market availability;
  • account balances;
  • execution availability;
  • jurisdiction restrictions;
  • user-defined policy;
  • connector health; and
  • other execution conditions.

A route identified as “Best Venue,” “Best Route,” or similar language is an automated comparison based on available information. It is not a guarantee of best execution.

Prices and market conditions may change before an order executes.

10. Affiliate, Builder, Broker, and Partner Compensation

Immutifi may participate in referral, affiliate, builder, broker, integrator, or revenue-sharing programs with exchanges, trading venues, protocols, service providers, or other partners.

Immutifi may receive compensation based on activity routed through certain integrations.

Where x402liquid performs automated venue comparison, partner compensation is intended to be subordinate to the user’s execution outcome. When enabled, partner economics may be used as a tie-breaker among routes that are considered materially equivalent under the configured routing policy.

Immutifi does not intend to deliberately select a materially worse execution route solely to increase partner compensation.

Any fee charged directly to you by Immutifi in connection with a transaction or service will be disclosed where required.

Third-party trading fees remain subject to the applicable third party’s terms.

11. x402 Agent Services

The Service may offer optional AI or data services that use x402 or another machine-payment mechanism.

Agent-service payments may be separate from trading capital.

Unless clearly disclosed otherwise, payment for an optional agent service does not authorize that service or agent to withdraw your trading assets or bypass your trading mandate.

Prices for agent services may change.

12. Market Information

Market prices, charts, order books, market depth, technical indicators, blockchain information, reference prices, and other market data may originate from third parties.

Such information may be:

  • delayed;
  • incomplete;
  • incorrect;
  • unavailable;
  • inconsistent across providers; or
  • different from the actual executable price.

Market information displayed by x402liquid should not be relied on as the sole basis for a financial decision.

13. No Investment Advice

x402liquid does not provide investment, financial, legal, tax, accounting, or fiduciary advice.

Nothing provided through the Service constitutes:

  • a recommendation to buy or sell an asset;
  • an offer to sell securities;
  • a solicitation to purchase securities;
  • personalized investment advice;
  • a guarantee of profitability; or
  • a representation that any strategy is suitable for you.

You should consult qualified professionals when appropriate.

14. Trading Risk

Digital asset trading involves substantial risk.

You may lose some or all of the assets committed to a trade or strategy.

Risks include, without limitation:

  • market volatility;
  • liquidity risk;
  • smart-contract risk;
  • stablecoin depegging;
  • exchange insolvency;
  • counterparty risk;
  • blockchain congestion;
  • failed transactions;
  • price slippage;
  • incorrect market data;
  • software defects;
  • agent errors;
  • model hallucinations;
  • API failures;
  • compromised devices;
  • wallet compromise;
  • regulatory changes; and
  • unexpected interactions between automated systems.

Past performance does not guarantee future results.

15. No Guarantee of Execution

Immutifi does not guarantee that any proposed trade will:

  • execute;
  • execute at the displayed price;
  • execute within a particular time;
  • execute on a particular venue;
  • settle successfully; or
  • produce a profit.

Orders may be rejected or delayed by wallets, blockchains, exchanges, liquidity providers, smart contracts, APIs, compliance controls, or other systems outside Immutifi’s control.

16. Jurisdiction and Sanctions Controls

The Service may use jurisdiction restrictions, sanctions screening, wallet screening, or other compliance controls.

You agree not to:

  • evade geographic restrictions;
  • misrepresent your location;
  • bypass sanctions controls;
  • use VPNs or other methods for the purpose of circumventing legal restrictions;
  • use the Service from a prohibited jurisdiction; or
  • use the Service on behalf of a prohibited person or entity.

Availability shown in the Service does not constitute legal advice regarding your right to trade a particular asset or product.

17. Prohibited Uses

You may not use the Service to:

  • violate any law or regulation;
  • launder money;
  • finance unlawful activity;
  • evade sanctions;
  • steal or misappropriate assets;
  • manipulate markets;
  • conduct fraudulent trading;
  • gain unauthorized access to accounts or systems;
  • distribute malware;
  • compromise wallets;
  • extract private keys or seed phrases;
  • impersonate another person;
  • interfere with the Service;
  • bypass security or risk controls; or
  • use another person’s trading account without authorization.

18. Third-Party Services

The Service may integrate with third parties including:

  • exchanges;
  • wallet providers;
  • hardware-wallet manufacturers;
  • blockchain networks;
  • RPC providers;
  • market-data providers;
  • decentralized protocols;
  • payment facilitators;
  • AI providers; and
  • local software.

Your use of those services may be governed by separate terms and privacy policies.

Immutifi is not responsible for a third party’s acts, omissions, security, availability, accuracy, solvency, regulatory status, or performance.

19. Service Availability

We may add, modify, pause, discontinue, restrict, or remove features at any time.

We may immediately disable a trading venue, market, asset, account type, strategy, jurisdiction, or feature where we believe continued operation could create legal, security, compliance, or financial risk.

We do not guarantee uninterrupted availability.

20. User Content and Local Data

Certain information may remain entirely on your device, including local model data, locally stored exchange credentials, local strategy state, wallet signatures, or trading-session information.

You are responsible for backing up data that you need to retain.

Clearing browser storage, removing local software, reinstalling an application, replacing a device, or disconnecting an account may result in loss of locally stored information.

21. Intellectual Property

The Service, software, branding, designs, interfaces, documentation, and other materials provided by Immutifi are owned by or licensed to Immutifi and are protected by applicable intellectual-property laws.

These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose.

You may not copy, sell, sublicense, reverse engineer, or commercially exploit proprietary portions of the Service except where expressly permitted by law or by a separate written agreement.

22. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

IMMUTIFI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, AND FITNESS FOR TRADING OR INVESTMENT PURPOSES.

WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, PROFITABLE, OR SUITABLE FOR ANY PARTICULAR TRADING STRATEGY.

23. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMMUTIFI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST TRADING OPPORTUNITIES, LOST DIGITAL ASSETS, LOSS OF DATA, OR BUSINESS INTERRUPTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMMUTIFI’S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID DIRECTLY TO IMMUTIFI FOR THE SERVICE DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
  2. US $100.

Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply to you.

24. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Immutifi and its officers, directors, employees, contractors, affiliates, and agents from claims, damages, liabilities, losses, and reasonable expenses arising from:

  • your violation of these Terms;
  • your unlawful use of the Service;
  • your trading activity;
  • your connected wallets or exchange accounts;
  • your agents or automated strategies;
  • your violation of another person’s rights; or
  • information or instructions you provide to the Service.

25. Suspension and Termination

We may suspend or terminate access to all or part of the Service if we reasonably believe:

  • you violated these Terms;
  • your account or device has been compromised;
  • continued access presents a security or compliance risk;
  • applicable law requires restriction; or
  • a connected service requires us to disable functionality.

You may stop using the Service at any time.

Disconnecting x402liquid does not automatically close positions or cancel activity directly maintained by a third-party exchange or blockchain protocol. You remain responsible for reviewing those systems directly.

26. Changes to These Terms

We may update these Terms from time to time.

The updated version will be posted with a revised effective date.

Where required by law, we will provide additional notice before material changes become effective.

Continued use after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

27. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except where applicable federal law or mandatory law provides otherwise.

To the extent permitted by law, disputes that are not otherwise resolved between the parties will be brought in an appropriate state or federal court located in Wyoming.

28. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

29. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms presented for a particular feature, constitute the agreement between you and Immutifi regarding your use of the Service.
